Terms of Service

These Terms of Service (the "Terms") set forth the conditions for using ViVaLiVe (the "Service") provided by Shinya Inoue (the "Operator"). By using the Service, you agree to be bound by these Terms.

Article 1 (Scope)

These Terms apply to all relationships between users and the Operator regarding the use of the Service. Any guidelines or rules posted on the Service (including Community Guidelines) shall form part of these Terms.

Article 2 (Account Registration)

  • Use of the Service requires account registration, which is completed through OAuth authentication.
  • Users shall provide accurate information and ensure no false information is registered.
  • Users are responsible for managing their accounts and may not allow third parties to use them.
  • The Service offers the following account types:

PeoplePersonal profile account. The foundation for creating and managing Units and Venues.
UnitActivity unit such as bands or projects. Created and managed by People.
VenueLive houses and other facilities. Created and managed by People.
FANAccount for browsing events and obtaining admission tickets.

Article 3 (Prohibited Activities)

Users shall not engage in the following activities when using the Service:

  • Activities that violate laws or public order
  • Activities related to criminal acts
  • Infringement of intellectual property rights, portrait rights, privacy, reputation, or other rights of the Operator, other users, or third parties
  • Harassment, threats, or defamation of other users
  • Registering or posting false information
  • Impersonating other users
  • Spam activities (mass sending of promotional messages, etc.)
  • Placing excessive load on the Service's servers or network
  • Activities that may interfere with the operation of the Service
  • Unauthorized access or attempts thereof
  • Repeated filing of false reports
  • Providing benefits to antisocial forces
  • Any other activities deemed inappropriate by the Operator

Article 4 (Content Rights)

  • Copyright of content posted by users (profile information, images, text, etc.) belongs to the respective users.
  • Users grant the Operator a non-exclusive license to use posted content to the extent necessary for providing and improving the Service.
  • The Operator may remove content that violates laws or these Terms without prior notice.

Article 5 (Performance Slot Transactions & Payments)

  • The Service provides a system where Venues and Units can list performance slots for purchase by other users.
  • Payments are processed through Stripe Connect (direct charges). Purchase amounts are paid directly to the seller's Stripe account, with a platform fee deducted.
  • Sellers are required to connect a Stripe Express account and agree to Stripe's terms of service.
  • Cancellations and refunds for performance slots are subject to the cancellation policy set by the seller (Flexible / Standard / Strict / Custom).
  • The Operator handles payment-related issues in accordance with Stripe's terms.

Article 6 (FAN Tickets)

  • FAN account users can obtain admission tickets (QR codes) for events.
  • Tickets may be free or paid. Free tickets can be obtained by reservation only. Paid tickets require credit card payment via Stripe Connect.
  • Payment for paid tickets is made directly to the event organizer's Stripe account, with a platform fee deducted.
  • Ticket usage conditions are subject to each event's settings.
  • Cancellations and refunds for paid tickets are subject to the event organizer's policy. Refunds are processed through Stripe to the original payment method.

Article 7 (Reporting & Moderation)

  • Users may report activities or content that violate these Terms or Community Guidelines through the reporting feature.
  • The Operator or moderators may take measures such as warnings, content hiding, or account suspension as deemed necessary after reviewing reports.
  • Repeated filing of false reports constitutes a prohibited activity.

Article 8 (Service Changes & Suspension)

The Operator may suspend or interrupt all or part of the Service without prior notice in the following cases:

  • When performing maintenance or updates to the Service's systems
  • When provision becomes difficult due to force majeure such as earthquakes, lightning, fire, or power outages
  • When the Operator determines that provision of the Service is difficult

Article 9 (Account Deletion)

Users may delete their accounts and withdraw from the Service at any time through the prescribed procedures. Handling of data after withdrawal shall be in accordance with the Privacy Policy.

Article 10 (Disclaimer)

  • The Operator makes no express or implied warranty that the Service is free from defects.
  • The Operator bears no responsibility for disputes between users, including those related to performance slot transactions.
  • The Operator bears no responsibility for damages arising from use of the Service, except in cases of willful misconduct or gross negligence.

Article 11 (Changes to Terms)

The Operator may change these Terms at any time without notice when deemed necessary. Revised Terms shall take effect from the time they are posted on the Service.

Article 12 (Governing Law & Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
